Solution for Major Law Firm

Challenge

A major law firm (“MLF”) headquartered in Boston with offices throughout the US and in Europe, general partner of a Limited Partnership that provides multi-channel services to rural-area subscribers. The general partner was involved in litigation with certain limited partners concerning certain transactions that had been made by the Limited Partnership and its successor corporation under management by the general partner.

Solution PDS Consulting reviewed the background for each of the transactions. We described the context for the transactions in terms of trends in the multi-channel services industry since the early 1990s, taking into account significant regulatory developments, cable TV system capital investment cycles, and changes in the competitive environment. We also described the evolution of the direct-to-home satellite services business (DBS, or direct broadcast satellite) during this time period, beginning with the high perceived risk associated with DBS prior to DirecTV's market entry in 1994 and subsequent rapid growth of DirecTV and Echostar. In addition, we reviewed the particular opportunities and challenges facing small operators and rural cable systems as their environments changed during the time period at issue. We considered the business and financial performance of the limited partnership in the context of overall industry trends. We concluded that the actions of the Limited Partnership and the successor corporation, under management by the general partner, were consistent with enhancing the value of the Limited Partnership. This litigation was settled on terms favorable to our client.
